These Legal Terms and Conditions ("Terms") govern the use of the software products, tools, audio engines, SDKs, plug-ins, applications, and other related services (collectively, the "Services") offered by Comdigis. By installing, activating, accessing, or using the Services, you represent that you have read, understood, and accepted these Terms and the corresponding End User License Agreement ("EULA"). If you do not agree to these Terms, please refrain from using the Services.

License for use

Use of the Services is governed by: (i) these Terms, (ii) the specific EULA applicable to each product or version, and (iii) any supplemental license or subscription agreement you have accepted. In the event of a conflict, the terms of the EULA for the product in question shall prevail, followed by the commercial or subscription terms, and finally these Terms. Some advanced features or tools may be subject to additional terms that will be presented to you prior to activation.

Definition of Scope and Conditions of the EULA

Comdigis grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the software solely in the manner permitted by these Terms, the EULA, and the official documentation. Unless expressly authorized in writing, you may not: (a) sublicense, sell, rent, lend, or distribute the software; (b) reverse engineer, decompile, or disassemble, except to the extent permitted by law; or (c) circumvent, disable, or interfere with any protection, licensing, rights management, or technical limitations mechanisms incorporated into the Services.

Disclaimer and Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. Comdigis does not guarantee that the software is free from errors, interruptions, vulnerabilities, inaccuracies, design flaws, or technical limitations, nor that it will meet specific needs for mixing, mastering, hardware compatibility, DAWs, third-party plugins, or particular workflows. Notwithstanding the foregoing, Comdigis may, at its discretion, release updates, patches, or new versions intended to improve stability, performance, or compatibility, without any obligation to maintain, support, or guarantee results.

Intellectual Property Rights

All intellectual property rights in the software, audio engines, processing algorithms, interface designs, documentation, trade names, trademarks, and other content associated with the Services belong to Comdigis or its licensors. These Terms do not transfer ownership of the software or any intellectual property rights to you; you are only granted a limited right of use under the applicable licenses. Any unauthorized use of Comdigis' assets constitutes an infringement that may result in legal action.

Limitation of Liability

To the maximum extent permitted by law, Comdigis, its affiliates, officers, employees, and licensees shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages of any kind, including, but not limited to, loss of session data, loss of projects, loss of revenue, operational interruptions, audible artifacts, rendering errors, incompatibilities, or any other damages, including, but not limited to, loss of session data, loss of projects, loss of revenue, operational interruptions, audible artifacts, rendering errors, incompatibilities, or any other damages, including, but not limited to, loss of session data, loss of projects, loss of revenue, operational interrupt exemplary, or consequential damages of any kind, including, but not limited to, loss of session data, loss of projects, loss of revenue, operational interruptions, audible artifacts, rendering errors, format incompatibilities, or any other consequences arising from the use or inability to use the software, even if advised of the possibility of such damages.

The total cumulative liability for any claim related to the Services, whether contractual or otherwise, shall be limited to a maximum of the amount actually paid by you for the license or subscription to the relevant product during the twelve (12) months prior to the event giving rise to the claim.

Terms of Use and Restrictions

You agree not to use the Services to: (a) infringe the intellectual property or privacy rights of others; (b) distribute illegal or malicious content; (c) develop or disseminate malware, intrusion tools, or reverse engineer other systems; or (d) use the Services in a manner that could damage, overload, or compromise the infrastructure of Comdigis or its suppliers.

Certain features (e.g., intensive processing, cloud rendering, advanced analytics, or diagnostic telemetry) may require an Internet connection. Comdigis does not guarantee the constant availability of such services or the absence of interruptions, temporary performance degradation, or changes in usage quotas.

Changes to these Terms

Comdigis may modify these Terms to reflect regulatory changes, business adjustments, new features, or service developments. Updated versions will be published through the relevant channels. Your continued use of the Services after the new Terms take effect will constitute your acceptance of them.

Unless otherwise required by mandatory law in your jurisdiction, these Terms shall be governed by and construed in accordance with the laws applicable in Comdigis's primary jurisdiction of operation, without regard to conflict of law principles. Any dispute arising out of or relating to the Services shall be submitted to the competent courts of that jurisdiction, without prejudice to any rights you may have as a consumer under local law.
